License Agreement (EULA)

This License Agreement (“Agreement”) applies to all digital products sold under the Hafl Tech brand (“we”, “us”, “our”), including source code, templates, mobile applications, UI kits, design files, and software assets. Hafl Tech is a brand operated by IE Hambardzum Panosyan, who is the legal licensor of all products offered through this store.

By purchasing, downloading, installing, or using any digital product, you (“Licensee”, “you”, “your”) agree to be bound by this Agreement. If you do not agree, you must not purchase or use the product.

1. Overview of License Types

We offer four license tiers, each with different rights:

1. Source Code License

  • Use in one project only

  • Non-transferable

  • No branding services included

2. Branded App License

Includes all Source Code rights plus:

  • Custom branding (logo, colors, app name)

  • Use in one commercial release

3. Full Launch License

Includes all Branded App rights plus:

  • Store deployment support (App Store / Google Play)

  • Basic integrations (as agreed)

  • Limited support period

4. Enterprise License

Includes all Full Launch rights plus:

  • Multi-project usage (within one company)

  • Custom development

  • SLA support

  • Extended rights as defined in a separate contract or SOW

If you purchased a lower-tier license, you do not receive rights from higher tiers.

2. Rights Granted

Subject to payment and compliance with this Agreement, we grant you a non-exclusive, non-transferable, revocable worldwide license to:

  • Use the source code in accordance with your license tier

  • Modify, extend, and customize the code for your project

  • Publish the resulting application under your own brand (Branded / Full Launch / Enterprise only)

  • Use the code for commercial purposes (within your licensed scope)

You are not purchasing ownership of the code — only the right to use it under this Agreement.

3. Restrictions (Strict)

You may not, under any circumstances:

  • Resell, redistribute, or share the source code in original or modified form

  • Upload or publish the code publicly (GitHub, GitLab, forums, cloud links, etc.)

  • Use the code to create a competing template or commercial package

  • Give, lend, or sublicense the code to others

  • Use the code for multiple unrelated projects (unless Enterprise license)

  • Claim authorship or imply the code was created by your team

  • Circumvent license enforcement or remove copyright notices

  • Reverse-engineer any included compiled assets (if applicable)

Violation of these terms automatically terminates your license without refund.

4. Intellectual Property

All products, designs, source code, documentation, assets, and related materials remain the intellectual property of Hafl Tech / IE Hambardzum Panosyan.

This Agreement does not transfer ownership — only usage rights.

5. Number of Allowed Projects

Depending on your license:

  • Source Code License → 1 project

  • Branded App License → 1 project

  • Full Launch License → 1 project

  • Enterprise License → multiple projects (same company only)

A “project” means one app/business idea, even if deployed on multiple platforms (iOS + Android counts as one project).

6. Support & Updates

Support and updates depend on your license:

  • Source Code License → No support

  • Branded App License → Limited setup support

  • Full Launch License → Support until app store acceptance or agreed duration

  • Enterprise → SLA-based support

We do not guarantee future updates unless explicitly included.

7. Store Approval Disclaimer

We do not guarantee that Apple or Google will approve your app.

You acknowledge that approval depends on:

  • Store policies

  • Your implementation

  • Compliance with guidelines

  • Third-party services used

Rejection is not grounds for refund or license cancellation.

8. Refund Policy

Digital products are non-refundable, regardless of:

  • Change of mind

  • Technical incompatibility

  • App store rejection

  • Lack of required skills to use the code

  • Misunderstanding of features

  • Non-use of the product

Refunds may only be issued in cases of duplicate payment.

This policy works together with the Return & Refund Policy on our website.

9. Termination of License

Your license may be terminated if:

  • You violate any section of this Agreement

  • You share or redistribute the code

  • You initiate a payment dispute/chargeback

  • Fraud is detected

  • You misuse the product

Upon termination:

  • All rights revert to Hafl Tech

  • You must delete all copies of the code

  • You lose access to updates and support

No refunds will be issued upon termination.

10. Limitation of Liability

To the fullest extent allowed by law, we are not liable for:

  • Loss of revenue

  • Business interruption

  • Data loss

  • App Store / Google Play rejection

  • Bugs introduced after customer modification

  • Security vulnerabilities caused by external factors

  • Hosting issues, server outages, or third-party services

  • Costs of fixing customer-modified code

  • Any indirect or consequential damages

Our maximum liability is limited to the amount you paid for the product.

11. Indemnification

You agree to indemnify and hold harmless Hafl Tech / IE Hambardzum Panosyan from any claims arising out of:

  • Your misuse of the product

  • Illegal activities using the product

  • Reselling or redistribution of code

  • Violations of this Agreement

  • Third-party disputes caused by your implementation

12. Updates to This Agreement

We may update this Agreement at any time. Continued use of the product after changes constitutes acceptance of the updated terms.
